Description
As a Director in the Technology M&A team, you will play a leading role in executing large, complex M&A engagements. You will be responsible for delivering IT due diligence, risk assessment, and value creation, as well as leading post-transaction IT integration or separation efforts (e.g., carve-outs). In this role, you will act as a subject-matter expert, manage workstreams and client relationships, and contribute to business development and thought leadership.
Key Responsibilities
Pre-Deal / Due Diligence
- Lead major IT due diligence engagements (buy-side, sell-side) assessing target companies across key technology domains: applications, infrastructure, data, cybersecurity, third-party vendors, technical debt, and cloud strategy
- Identify technology risks, dependency issues, synergies, and cost-saving / value-creation opportunities
- Oversee development of detailed deliverables: data request lists, interview guides, architecture diagrams, risk heat maps, cost models, synergy models, TSA (Transition Service Agreement) schedules, one-time and recurring cost estimates
- Present findings and recommendations to C-level / senior business and IT stakeholders, translating technical insights into business implications
- Drive proposal development: define scope, staffing, pricing, and methodology; support go-to-market efforts for new clients in the technology M&A space.
Post-Deal / Integration & Separation
- Lead post-merger integration or carve-out (separation) programs as a part of the Integration Management Office (IMO) or Separation Management Office (SMO).
- Design the target / future-state IT-operating model (organization structure, governance, processes, systems) to align with business strategy.
- Develop and manage detailed integration or separation plans, including Day-1 readiness, go-live plans, workstreams (e.g., applications, infrastructure, data, security), transition timelines, and risk mitigation strategies.
- Establish and run program governance: define KPIs, risk and issue logs, status reporting, milestone tracking, and steering-committee management.
- Manage TSA design and execution, including negotiation of scope, service definitions, responsibilities, SLAs, and exit mechanisms
- Lead technology rationalization: identify redundant systems, platforms, and vendors; define consolidation or carve-out approach; optimize cloud / infrastructure footprint
- Provide leadership, mentoring, and coaching to managers, senior managers, and junior staff; build a high performing team
Client Engagement & Relationship Management
- Serve as a trusted advisor to senior client stakeholders (CIO, CTO, CFO, deal sponsors) on technologyrelated M&A topics
- Contribute to business development: lead on pitches, support proposal writing, identify cross-sell opportunities, build long-term client relationships
- Stay current on market trends in technology (cloud, SaaS, data, cyber) and M&A (e.g., carve-outs, TSAs), developing intellectual capital, thought leadership, and best practices.
Firm Leadership and Team Building
- Mentor and develop other professionals in the team (senior managers, managers, associates)
- Build and scale the M&A technology practice by contributing to recruiting, capability development, and internal knowledge-sharing.
- Contribute to internal communities of practice, develop tools, playbooks, and frameworks for diligence and integration.
Qualification & Requirements
- 12+ years of professional experience in technology consulting, M&A advisory, strategy & transactions, or a combination
- Deep experience in IT due diligence AND post-merger integration / separation programs
- Prior exposure to large, complex deals (corporate / private equity) as a lead or senior contributor
- Strong understanding of enterprise architecture, applications (custom and off-the-shelf), infrastructure (on-prem / cloud), data platforms, cybersecurity, and SaaS
- Familiarity with vendor management, outsourcing/offshoring, TSA design, and IT operating models
- Experience in technology rationalization, cloud migration, and IT transformation
- Ability to model IT costs, synergies, one-time separation costs, and run-rate estimates
- Strong analytical skills, able to convert technical assessment into business risks, ROI, and value levers
- Proven ability to lead large, cross-functional programs with multiple workstreams
- Experience in governance, risk management, status reporting, stakeholder management
- Excellent planning, resourcing, and budgeting capabilities
- Experience managing and mentoring mid- to senior-level teams
- Strong client-facing skills; able to present to and influence C-suite / senior business leaders
- Excellent written and verbal communication; ability to produce high-quality deliverables (reports, presentations)
- Experience in contributing to proposals, pricing, scoping, and pitches.
- Ability to identify and develop new business opportunities in the M&A space
- Bachelor’s degree in Computer Science, Information Systems, Engineering, or similar
- MBA or Master’s degree is a strong plus
