Description

Financing & Securities Services Legal (FSS Legal) is an international team based in London, Hong Kong and Singapore. We cover development of new products including technology solutions across all jurisdictions and work closed with our local legal counterparts in each jurisdiction in the development of those product.

You will be joining a dynamic team that is solutions orientated and is not afraid to take initiative and help the business drive solutions. The role in legal is wider than just providing legal expertise, by being product legal experts, we are part of the team and help deliver the entire solution because of our client centric focus.

We are consistently looking at ways to improve our process and improve the legal experience of our stakeholders. Your stakeholders include Legal, Tax, Compliance, Risk, Product, Finance, Treasury, Sales and Operations. You will be expected to work with them and provide legal advice to assist in decision making as well having a strong understanding of when and how to escalate matters as appropriate.

The candidate will work closely with Head of Legal for FSS and will be expected to take the lead in their work, escalate and collaborate with their stakeholders and legal colleagues globally.

Key Responsibilities

The role will be varied, and we will expect to cover the following in your day-to-day role:

  • Provide legal advice to FSS business and other functions.
  • As part of the Global Legal team, providing legal advice to FSS senior management, businesses, products and working closely with other various functions across jurisdictions.
  • Drafting legal documents, including but not limited to custody agreements and related amendments, trust deeds, fund admin agreements and middle office, and any other bespoke documents as required.
  • Negotiation of the legal documents with clients and engage relevant internal stakeholders where relevant.
  • Providing advice and guidance to local/regional legal teams in 30+ jurisdictions.
  • Acting as legal advisory for any new product development and other customised or bespoke services.
  • Remediation of existing legal documentation to ensure legal and regulatory compliance.
  • Project work including update and management of legal opinions, relating to client assets regulation in 30+ jurisdictions; developing new legal templates and updating and managing playbooks; horizon scanning of regulatory developments that impact the business; obtaining external legal advice on an ad hoc basis; working with product to develop new product solutions relating to digital assets, technology and data solutioning for clients, ESG products and so on.

Governance

  • Assist the Global Head of Legal, Financing and Securities Services in representing Legal in the governance of FSS-related issues.
  • Assist the Global Head of Legal, Financing and Securities Services in developing appropriate legal policies and procedures or minimum documentation standards.
  • Assist the Global Head of Legal, Financing and Securities Services in ensuring the effective management of legal matters across the FSS business.
  • Have an awareness and understanding of the regulatory framework in which the Group operates, and the regulatory requirements and expectations relevant to the role
  • Challenge fellow executives effectively.

Other Responsibilities

  • Maintain close coordination with the Legal Dispute Resolution Team and Group Special Assets Management for their input, where relevant, into litigation cases concerning FSS.
  • Where external counsel is appointed, ensure the FSS Legal team liaises with external counsel, ensure the scope of work is defined and appropriate, the quality of work is overseen effectively, legal costs are managed, and that there is appropriate overall matter management.
