Description
Become the trusted advisor to our Commercial Banking teams that deliver day to day on the firm’s contractual, legal, and regulatory obligations, with focus on the firm’s global wholesale loan portfolio.
As an attorney on the CB Shared Services Legal team, you will be part of a team that advises the Commercial Banking (1) global loan operations team that supports the firm’s wholesale loan portfolio worldwide, (2) product management and strategy team with oversight over the firm’s wholesale credit and lending products, and (3) project management teams that are responsible for leading the Commercial Bank’s global program to identify legal and regulatory obligations that impact the firm, and other key regulatory programs. You will leverage your legal knowledge to help coordinate the legal team’s role in supporting and advising on all significant business, controls and compliance initiatives, as well as various cross-line of business projects. Key Responsibilities
- Providing day to day legal advice to loan operations senior leaders and their respective teams globally on commercial lending matters, such as on market dynamics and loan document interpretation
- Coordinating with outside counsel to address operational considerations at all stages of the loan product life cycle
- Developing and leading legal training programs, relating to commercial lending, loan documents, and market dynamics, to educate and empower global operations teams to deliver the firm’s wholesale credit and lending products and identify associated business, legal, compliance, risk, and controls considerations
- Participating as a legal advisor in cross-line of business projects for the firm’s loan operations and regulatory teams, including initiatives focused on data, transformation, digitization, and process improvement
- Driving consistency across the firm’s wholesale loan portfolio globally through collaboration with operational, legal, and business partners for the firm’s various business units and corporate groups, including with respect to the delivery of credit and lending products across global regions
- Analyzing global laws/regulations and developments relating to products and services offered by the Commercial Bank, including through partnership with the firm’s other lines of business, and the firm’s wholesale loan portfolio
- Partnering with Risk, Controls, and Compliance colleagues regarding operational and regulatory risk and control issues and the applicability of federal and state law and regulation to the business
Qualification & Requirements
- Appropriate experience at a law firm and/or in-house legal department at a large bank or other financial services company with demonstrated experience managing increasingly complex matters
- The ability to prioritize work in a fast moving environment, manage a large number of issues at one time, and interact with senior and executive management
- Excellent verbal and written communications skills
- Licensed to practice law and a member in good standing in TX, IL, or OH, as applicable, or otherwise in compliance with the in-house counsel registration rules in such state
Preferred qualifications, capabilities, and skills
- Experience collaborating on a broad range of business strategies and issues
- Knowledge of the legal and regulatory requirements for commercial banking businesses
- Experience with private equity or sponsor transactions, syndicated lending, secondary loan trading, real estate lending, specialty asset classes, and international transactions
- Demonstrated problem solving and project management skills, judgment and character
